These terms of service (“Terms”) apply to any user (“User” or “You”) using the current and future versions of the video editing service, AltaClip, owned and provided by AltaClip(the “Company”, “We” or “Us”).
The purpose of these Terms is to set forth the respective rights, obligations, and responsibilities of the Company and You regarding Your use of AltaClip on Your personal computer, mobile device, or other compatible devices (collectively, “Device”). You may access AltaClip by the service website (“altaclip.com”) provided by the Company. Please note that these Terms govern the legal relationship between You and the Company, and Your relationship with the website is subject to the respective terms and conditions of the website.
When the Company contacts Users regarding AltaClip, it will do so by posting on an appropriate space on the Company’s website or applications, by using the contact information supplied by the Users (such as email address, phone number), or by any other method that the Company reasonably believes to be appropriate. If there is any change to the information that a User entered when registering for service access, the User must modify such information or notify the Company of the change. The Company shall not be liable for any disadvantages or issues resulting from the User’s failure to do so.
Unless otherwise stipulated, “AltaClip assets” include the software code of AltaClip Web, text, graphics, images, icons, videos, audio, algorithms for subtitle generation, user interfaces, and other related materials provided to Users in AltaClip. Unless stipulated otherwise by law or contract, all exclusive and proprietary ownership rights in AltaClip, AltaClip App, service website, these Terms, Privacy Policy, User Guidelines, and any related documentation and information, AltaClip assets (collectively, the “Company Assets”), and the selection and arrangement of AltaClip - related content belong solely to the Company.
The Company Assets and the selection and arrangement of AltaClip - related content are protected by copyright laws, patent laws, trademark laws, and other relevant laws, including international intellectual property laws and treaties. The Company Assets include trade secrets and exclusive information that are confidential and proprietary to the Company, and You agree to take all necessary actions to respect and protect the confidentiality of such trade secrets and exclusive information. Any new releases, modifications, and enhancements to the Company Assets and the selection and arrangement of AltaClip - related content belong solely to the Company and (if applicable) its licensors. There is no implied license, right, or interest granted to You with regard to the provision of the Company Assets, and the Company hereby expressly reserves all rights in the Company Assets, and any contents thereof, which are not expressly granted to You hereunder.
The Company grants You a personal, limited, non - commercial, non - exclusive, non - sublicensable, non - assignable, revocable license to use AltaClip, only on Your Device for the sole purpose of personally using AltaClip to upload videos and generate subtitles. You only obtain a license to use the object code version of the AltaClip, and You do not have any right whatsoever in the original source code of the AltaClip. You may only use the Company Assets for the sole purpose of personal use of AltaClip as described above.
If You use the Company Assets in a manner that exceeds the scope of the license granted to You under these Terms, the Company may revoke or cancel the license it has granted to You at any time. The Company will notify You without delay of the reason for revocation/cancellation of the license, except in the event that notification is not permitted under law (e.g., if it violates a statute or a regulatory authority's order, or results in an obstruction to a regulatory investigation) or the Company reasonably determines that notification may result in damage to the Users, third parties, or the Company (e.g., if it impairs the security of AltaClip).
If You use AltaClip, You hereby grant the Company a license to access, collect, and use, in accordance with relevant laws and regulations as well as the Company's Privacy Policy, the information necessary for the operation of the service. This includes but is not limited to information about the videos You upload (such as video metadata like file size, duration), and any user - provided data used to customize the subtitle - generation process (such as language preferences).
You must use AltaClip in compliance with these Terms, the amended terms pursuant to these Terms, and any of the applicable user guidelines established under these Terms. Please stop using AltaClip immediately if You do not agree to these Terms or the User guidelines.
You shall not engage in any illegal or inappropriate activities with respect to the Company Assets, including the following acts. In the event You commit or attempt to commit such acts, You may be subject to civil and/or criminal charges in accordance with relevant laws and regulations, in addition to restrictions on the use of the relevant AltaClip services, including suspension or termination of Your account.
You shall not use the Company Assets for any illegal purpose or any purpose not explicitly authorized herein, such as using AltaClip to create content that violates laws, promotes violence, or engages in illegal business activities.
You shall not engage in any acts that cause impairments to AltaClip by damaging, disabling, or overburdening the Company Assets, such as launching a distributed denial - of - service (DDoS) attack against the AltaClip servers.
You shall not transmit worms, viruses, or any code of a destructive nature using AltaClip.
In using AltaClip, You shall not commit any of the following acts nor any acts that amount to any of the following acts that the Company may reasonably deem to be inappropriate in light of the purpose of providing AltaClip:
Violation of laws and regulations, rulings, decisions, and orders of the court, and/or administrative measures that are legally binding.
Acts that undermine, or are likely to undermine, public order or moral customs.
Infringement of intellectual property rights (e.g., copyrights, trademarks, patents) of the Company and/or third parties. This includes uploading videos that You do not have the legal right to use for subtitle generation.
Transmission or posting of offensive, discriminatory, or harassing content through the AltaClip service.
Impersonation of the Company, its employees, or other users, or intentionally disseminating false information.
Unauthorized access to other users' accounts, hacking, or any other inappropriate acts relating to user data.
You shall not attempt to reverse - engineer, decompile, or disassemble the AltaClip or any part of the Company Assets.
You shall not use AltaClip to generate content that violates the privacy rights of others.
The Company reserves the right to exercise whatever lawful means it deems necessary to prevent unauthorized and/or illegal use of AltaClip, including, but not limited to, technological barriers, IP blocking, and directly contacting Your internet service provider or device manufacturer when appropriate.
Any comments, suggestions, or feedback relating to AltaClip and/or the AltaClip App (“Feedback”) submitted by You to the Company shall become the property of the Company. The Company will have exclusive ownership of all rights to the Feedback. The Company will be entitled to use the Feedback for any commercial or other purpose whatsoever, without any compensation to You or any other person, and will not be required to treat any Feedback as confidential. You agree that You do not acquire any right in or to AltaClip and/or the AltaClip App (or any changes, modifications, or corrections thereto) by virtue of any Feedback. You acknowledge that the Company will not be responsible for whatever Feedback that You submit, including its legality, reliability, appropriateness, originality, and copyright.
You are not allowed to assign any rights or obligations hereunder as your account is strictly personal to You. The Company is allowed, in accordance with procedures set forth in relevant laws and regulations, to assign any rights or obligations hereunder or regarding the Company Assets to any third party. In the event that the Company transfers the business related to AltaClip to its affiliate, Your contractual position, rights and obligations under these Terms, and Your registration information and other user information shall be transferred to the transferee of the business, and You agree to such transfer. The business transfer stated in this Section shall include not only ordinary business transfer but also divestiture and other change of ownership or control.
You use AltaClip under Your own responsibility and shall be fully responsible for all acts and consequences thereof arising from Your use of AltaClip. When You register an account for the use of AltaClip, You must strictly manage Your login credentials (such as username and password) under Your own responsibility in order to prevent misuse. The Company may regard any and all acts made using Your registered account as Your own.
AltaClip's primary service is to provide a one - click video upload feature with subsequent subtitle generation. The Company reserves the right to change, enhance, or limit the functionality of the subtitle - generation algorithms, supported video formats, and other service features at its sole discretion. The Company will make reasonable efforts to notify Users of any significant changes that may affect the core service experience.
The Company will store the videos You upload and the generated subtitles for a limited period as determined by the Company. The storage period may be affected by factors such as Your account status (e.g., active, inactive), applicable laws, and the Company's data management policies. You are responsible for backing up any important videos or subtitle files outside of AltaClip if You require long - term storage.
If AltaClip offers subscription - based services or paid features, the following provisions apply:
Payment Terms: You agree to pay the applicable fees for the subscription or paid features as specified on the AltaClip website or within the application. Payment methods may include credit/debit cards, online payment platforms, or other methods accepted by the Company.
Subscription Renewal: Unless You cancel Your subscription before the end of the relevant subscription period, Your subscription will automatically renew for successive equivalent periods. The Company will charge the renewal fees using the payment method on file.
Refunds: Refunds for subscriptions or paid features are subject to the Company's refund policy. In general, refunds may not be available for partially used subscription periods or after You have used a paid feature, except as required by law.
If a User is a minor (as defined by the laws of the relevant jurisdiction) or a person with limited legal capacity, the consent of the User's parents or legal representative is required to use AltaClip, especially if there are any paid features or collection of personal information involved. If a minor uses AltaClip without proper consent, the Company reserves the right to suspend or terminate the minor's account.
When You upload a video to AltaClip for subtitle generation, You represent and warrant that You have the legal right to use the video and to grant the Company the necessary rights to process it for the purpose of subtitle generation. By uploading the video, You grant the Company a non - exclusive, worldwide, royalty - free license to use, reproduce, adapt, and display the video solely for the purpose of generating subtitles within the AltaClip service.
The generated subtitles are the result of the Company's service based on Your uploaded video. The Company retains certain rights in the generated subtitles, but You have the right to use the subtitles for personal, non - commercial purposes in connection with the original video.
Authority to Use Device and Network: If Your use of AltaClip is dependent upon the use of a device or network connection owned or controlled by a third party, You acknowledge and agree that You must obtain consent from the relevant third party for such use, and the Company will not be liable in any way with regard to the foregoing. You must own or have the legal right to control the devices corresponding to your use of AltaClip service, and/or the devices through which you access AltaClip service. You must delete the AltaClip App and related personal information from the Device if You intend to sell, assign, or otherwise cease to have the legal right to control use of the Device. You will be solely responsible for any problems that may result from Your failure to delete the same.
Use of Third - Party Software or Services: AltaClip may incorporate or interact with third - party software, services, or APIs. These Terms also apply to Your use of any such third - party elements as part of AltaClip. The Company is not responsible for the performance, privacy practices, or terms of use of these third - party software or services.
Third - Party Fees: In some cases, Your use of AltaClip may involve interactions with third - party services that may result in additional fees. For example, if You choose to share the video with generated subtitles through a third - party social media platform that charges for certain types of sharing or storage, You are responsible for any such fees.
To terminate Your use of the AltaClip service, You may delete Your account by following the account deletion procedures provided within the AltaClip Web. If You have subscribed to any paid services, You must cancel Your subscription before deleting Your account to avoid further charges.
The Company may terminate or suspend Your access to AltaClip at any time, with or without cause, and with or without notice, if:
You violate any provision of these Terms.
You engage in illegal or unauthorized activities related to AltaClip.
The Company determines, in its sole discretion, that continued service to You may pose a risk to the security, integrity, or proper functioning of AltaClip or to other Users.
Upon termination, all licenses granted to You under these Terms will immediately terminate, and You will no longer have the right to access AltaClip or use any of the Company Assets. The Company may also delete any of Your data stored on its servers, subject to applicable laws regarding data retention.
You hereby agree to indemnify, defend, and hold harmless the Company, its licensors, its partners, its affiliates, officers, directors, employees, contractors, and suppliers (collectively “the Company Parties”), from and against any and all damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) that result from claims and/or actions by third parties, including, but not limited to:
Your violation or breach of any provision of these Terms or any applicable law or regulation.
Your violation of any rights of any third party, such as copyright infringement resulting from the video You upload or the way You use the generated subtitles.
Your use of AltaClip and/or the Company Assets for an unjustified purpose.
Any dispute with another User resulting from Your use of AltaClip and/or Company Assets.
Any taxes and fees related to Your use of AltaClip, including but not limited to taxes on paid services or transactions.
The Company Parties reserve the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify the Company Parties. You agree not to settle any matter without the prior written consent of the Company, and any settlement executed without such consent of the Company will be null and void against the Company Parties.
AltaClip is provided to You "AS IS" and "AS AVAILABLE" with no warranties. The Company hereby disclaims all warranties, terms, or conditions, express or implied, either in fact or by operation of law, statutory, or otherwise, including, without limitation, warranties, terms or conditions of merchantability, fitness for a particular purpose, satisfactory quality, correspondence with description, title, non - infringement, and accuracy of the generated subtitles. The Company does not warrant that:
The Company does not guarantee that AltaClip will be error - free, uninterrupted, or secure. You use AltaClip at Your own risk, and the Company will not be liable for any data loss, system failure, or other issues that may occur during Your use of the service.
The failure of the Company to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.
These Terms represent the complete agreement concerning the matters covered between the Company and You. If any provision of these Terms is held to be unenforceable, such provision shall be modified only to the extent necessary to make it enforceable and shall not affect the enforceability or validity of the remaining provisions, which shall remain in full force and effect.
The heading references herein are for convenience purposes only, do not constitute a part of these Terms, and will not be deemed to limit or affect any of the provisions hereof.
You acknowledge that the obligations made hereunder to the Company are of a unique and irreplaceable nature. Your violation of such obligations may cause irreparable harm to the Company, which may not be replaced by monetary damages alone, and thus, the Company shall be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by You.
